SERVICE AGREEMENT
This Service Agreement (“Agreement”) is entered into between you the Homeowner (“Homeowner,” “you,” or “your”) and Yardu Corp. (“Yardu,” “we,” “our,” or “us”) and governs your access to and use of Yardu’s services and mobile application (the “App”) to request, schedule, and receive services from third-party independent service providers (“Providers”). By using the Yardu App or booking a service through our App, you agree to the following terms:
A. PURPOSE OF AGREEMENT
Yardu provides a digital App to connect Homeowners with independent Providers for home-related services, such as lawn mowing and snow removal, and other approved services (“Services”). Yardu does not provide the Services itself but facilitates your access to them.
B. HOMEOWNER RESPONSIBILITIES
You agree to:
- Provide accurate, complete, and up-to-date information when creating your Yardu account and scheduling services.
- Select the most appropriate service type that best matches your property and the most appropriate nature of the work. Selecting an inaccurate match to your property or nature of the work may result in the service provider declining the service upon arrival and would lead to your request being cancelled and subject to an administrative charge equivalent to 30 percent of the pre-tax amount you paid.
- Ensure that the service location is safe, accessible, and compliant with local laws and regulations.
- Be present (or arrange for an authorized adult to be present) at the time of service, if required.
- Treat Providers with respect and refrain from engaging in abusive, inappropriate, or unlawful behaviour.
- Pay all fees associated with booked services according to the pricing and payment terms provided through the Yardu App.
C. YARDU’S ROLE
- Yardu acts as a facilitator and intermediary between you and Providers.
- We do not employ the Providers; they are independent contractors and individuals responsible for their own equipment, insurance, and work quality.
- Yardu vets Providers and offers Homeowner support but is not responsible for the conduct or performance of any individual Provider.
D. RESTRICTIONS ON PERSONAL CONTACT AND SOLICITATION
To maintain a safe and professional environment for all users you agree to:
- Not solicit, offer, or engage in direct transactions with Yardu Providers outside of the Yardu app.
- Not request or share personal contact information (including phone numbers, email addresses, social media handles, or home addresses) with Providers.
- Not attempt to hire or engage Providers for services independent of the Yardu app. Any violation of this clause may result in immediate suspension or termination of the Homeowner’s account, cancellation of pending services, and potential legal action where applicable. Yardu reserves the right to investigate any reported breaches and take appropriate action to protect the integrity of the app.
E. SERVICE BOOKING AND CANCELLATIONS
- Bookings can be made through the Yardu app and are subject to Provider availability.
- You are required to consult the appropriate sections of the app or website to ensure that the service you are booking most closely matches your property and the nature of the work. Inaccurate or mismatched requests may lead to cancellation of your request. Yardu may charge an administrative fee up to 30 percent of the pre-tax amount charged for the
requested service, if the request was cancelled due to misinformation by the homeowner regarding the type of property and the nature of service. - Homeowners may cancel their requests at anytime. However, cancellation of a request by a homeowner after such request has been accepted by a service provider would be subject to an administrative fee equivalent to 5 percent of the pre-tax amount charged for the service.
- Yardu or the Provider may cancel or reschedule services in the event of an emergency, unsafe conditions, or force majeure.
F. PAYMENTS AND FEES
- All payments are received through the Yardu app. Yardu uses a secure third-party payment processor.
- You authorize Yardu to charge your preferred payment method for all applicable fees, including service costs, applicable taxes, and cancellation fees.
G. DAMAGE AND LIABILITY
- In the event of property damage or service dissatisfaction, you must report the issue to Yardu within 24 hours of the service completion.
- Yardu will investigate the claim and, at its discretion, may facilitate resolution with the Provider.
- Yardu is not liable for indirect, incidental, or consequential damages or losses, and our total liability is limited to the amount paid by you for the affected service.
H. ACCOUNT SUSPENSION OR TERMINATION
Yardu reserves the right to suspend or terminate your account if you:
- Violate this Agreement or our Terms and Conditions of Service;
- Abuse, harass, or endanger Providers;
- Submit fraudulent or false claims;
- Breach payment obligations;
- Persistently submit misinformation about the type of property or nature of the work.
I. PRIVACY AND DATA USE
Your use of the App is subject to Yardu’s Privacy Policy, which describes how we collect, use, and protect your personal information. Refer to Section 4 below for our Privacy and Data Use Policy.
J. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of Canada and applicable laws in the province where the service is provided, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be resolved through mediation and then arbitration (if necessary) in Canada in accordance with the applicable rules. Nothing in this clause shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction, where such relief is necessary to prevent irreparable harm.
K. AMENDMENTS
Yardu may update this Agreement from time to time. You will be notified of significant changes, and continued use of the App constitutes acceptance of the revised terms.

SAFETY REGULATIONS AND STANDARDS AGREEMENT FOR CUSTOMERS
This Safety Regulations and Standards Agreement (“Agreement”) outlines the responsibilities and expectations for Homeowners (“you” or “Homeowner”) when engaging service providers (“Providers”) through the Yardu App (“Yardu,” “we,” or “our”).
By using Yardu’s services, you agree to comply with the following safety standards to ensure a respectful, secure, and hazard-free environment for all parties involved.
A. GENERAL SAFETY RESPONSIBILITIES
As a Homeowner, you agree to:
- Maintain a Safe Environment: Ensure that your home or service location is free from known hazards that could endanger the health, safety, or well-being of any Provider.
- Provide Accurate Information: Clearly disclose all relevant details about the service location, including pets, accessibility issues, security measures, or potential risks.
Accurately disclose all relevant information regarding the nature of the service, such as the size of lawn, extent of growth, and size of driveway or area to be cleared. - Follow Legal and Regulatory Requirements: Comply with all applicable health, fire, and safety regulations within your jurisdiction when hosting a Provider on your premises.
B. ON-SITE CONDUCT STANDARDS
You agree to:
- Treat Providers with Respect: Always maintain professional and courteous conduct. Verbal abuse, harassment, intimidation, or any form of discrimination will not be tolerated and would result in the suspension or termination of your Yardu account.
- Restrict Unnecessary Contact: Avoid any inappropriate or unnecessary physical contact with the Provider, or behaviour that could be considered intrusive or disrespectful. Maintain social distance from the Provider. Avoid solicitation of personal information such as addresses, contact information, phone number, email, or social media handle from the Provider.
- Supervise Children and Pets: Ensure that children and pets are safel supervised and do not interfere with the Provider’s ability to carry out their work.
- Provide Adequate Lighting and Ventilation: Allow Providers to work in safe, well-lit, and properly ventilated spaces.
C. EMERGENCY PREPAREDNESS
Homeowners should:
- Disclose Emergency Exits and Hazards: Inform Providers of emergency exits, alarm systems, or areas of concern within the property.
- Report Accidents Promptly: Notify Yardu immediately of any incident, injury, or safety-related event involving a Provider during a service session.
D. USE OF TOOLS, MATERIALS, OR HOMEOWNER EQUIPMENT
- Providers are expected to bring their own tools and equipment to the service location. Homeowners must not provide their tools for use by the Provider.
- Homeowners should not insist or pressure Providers to perform tasks outside the original scope of work requested in the app, or in unsafe conditions.
E. SAFETY-RELATED CANCELLATIONS
- A Provider has the right to leave or cancel a job if the work environment is unsafe, threatening, or violates this Agreement, or if they find that the Homeowner had provided inaccurate information about the nature of the service.
- Yardu may charge a cancellation fee to the Homeowner if unsafe conditions or misconduct lead to a cancelled booking.
F. BREACH OF AGREEMENT
Failure to adhere to this Agreement may result in:
- Suspension or termination of your Yardu account, denial of access to future service bookings, and reporting to authorities in the event of serious violations.
G. YARDU’S ROLE AND LIMITATIONS
While Yardu vets Providers and offers support, we are not physically present at service locations. It is your responsibility to maintain safe conditions at your premises. Yardu is not liable for injuries, losses, or damages resulting from your failure to comply with this Agreement.
H. CONTACT AND REPORTING
If you need to report a safety concern or incident, contact us immediately at the phone number or email shown on the app as well as our website.
BY PROCEEDING TO USE THE YARDU APP OR BOOK SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY OUR SAFETY REGULATIONS AND STANDARDS.
INDEMNITY AGREEMENT
This Indemnity Agreement (the “Agreement”) is entered into by and between Yardu Corp., a company registered under the laws of Canada (“Yardu” or “Company”), and the Homeowner (“Homeowner”), whose details are provided in the application form.
By accepting the terms of this Agreement and requesting a service through the Yardu App, the Homeowner agrees to indemnify and hold harmless Yardu, its officers, directors, employees, agents, affiliates, and representatives, as set forth in the following sections.
A. DEFINITIONS
- Homeowner: The individual or entity requesting services through the Yardu app.
- Service: Any services provided by the Service Provider through the Yardu app, including, but not limited to, lawn mowing, snow clearing, edging, or other related services.
- Indemnified Party: Yardu, including its officers, directors, employees, agents, affiliates and representatives.
- Service Provider: An individual or entity approved and registered by Yardu to provide services through the Yardu app.
B. INDEMNIFICATION OBLIGATION
The Homeowner agrees to indemnify, defend, and hold harmless Yardu (the “Indemnified Party”) from and against any and all claims, actions, demands, suits, liabilities, losses, damages, costs, and expenses (including reasonable attorney’s fees) arising from or relating to:
a) Injury or Death: Any injury, harm, or death to the Homeowner, the Service Provider, or any third party, arising out of or in connection with the Homeowner’s actions, negligence, inactions, or failure to properly engage with the Service Provider, or any injury, harm or death caused by the
Service Provider during the provision of services, or any injury, harm, or death arising from events beyond reasonable control such as natural disasters, satellite, electricity, telephone or internet outages, etc.
b) Property Damage: Any damage to property (whether owned by Yardu, the Homeowner, the Service Provider, or any third party) arising from the Homeowner’s actions, negligence, or failure to properly engage with the Service Provider, or damage caused by the Service Provider during the
provision of services, or any damage arising from events beyond reasonable control such as natural disasters, satellite, electricity, telephone or internet outages, etc.
c) Negligence or Inaction: Any loss, harm, or damage resulting from the Homeowner’s negligence, wilful misconduct, or failure to follow Yardu’s policies, safety guidelines, or any instructions provided by the Service Provider during the service, or from the actions, negligence, or failure of the Service Provider to properly perform the services.
d) Failure to Comply with Laws: Any failure by the Homeowner to comply with applicable laws, regulations, or safety standards governing the services provided, including zoning, licensing, insurance, or other legal requirements, or any such failure by the Service Provider during the service.
e) Breach of Agreement: Any breach of the terms and conditions agreed to by the Homeowner when requesting services, including any action or failure by the Homeowner that results in harm, damage, or failure to properly complete the service.
f) Legal Costs: Any legal costs incurred by Yardu, including but not limited to attorney’s fees, litigation costs, and settlement fees, arising from or in connection with any claim or legal action involving the actions or inactions of the Homeowner or Service Provider during the provision of services.
C. EXCLUSIONS FROM INDEMNIFICATION
The indemnity provisions under this Agreement shall not apply to claims, losses, or damages arising directly from the sole negligence, wilful misconduct, or gross negligence of Yardu or its employees.
D. COOPERATION WITH INVESTIGATIONS
In the event of any claim, lawsuit, or investigation arising from the actions or inactions of the Homeowner or Service Provider during the provision of services, the Homeowner agrees to cooperate fully with Yardu and any relevant authorities. This includes providing any documents, records, or other materials that may be requested by Yardu or any other party involved in the investigation or legal proceeding.
E. TERM AND TERMINATION
This Agreement shall remain in effect for the duration of the Homeowner’s engagement with Yardu, and shall continue to apply to any claims, losses, or damages arising from services provided during the term of the Homeowner’s engagement. The indemnification obligations outlined in this Agreement will survive the termination or suspension of the Homeowner’s relationship with Yardu.
F. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of Canada and applicable laws in the province where the service is provided, without regard to its conflict of laws

G. SEVERABILITY
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision will be replaced by a valid provision that reflects the intent of the original provision as closely as possible.
H. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between Yardu and the Homeowner regarding indemnification and supersedes all prior or contemporaneous understandings or agreements, whether written or oral, related to indemnification.
I. ACKNOWLEDGEMENT AND ACCEPTANCE
By requesting services through the Yardu app, the Homeowner acknowledges and agrees to the terms and conditions set forth in this Indemnity Agreement. The Homeowner further acknowledges that this Agreement is a legally binding contract and agrees to indemnify Yardu as described herein
J. AMENDMENTS
Yardu may update this Agreement from time to time. You will be notified of significant changes, and continued use of the App constitutes acceptance of the revised terms.

PRIVACY AND DATA USE POLICY
Yardu is committed to protecting your privacy and safeguarding the personal information you provide to us. This Privacy and Data Use Policy outlines how we collect, use, store, and disclose your information in connection with your use of the Yardu application and services.
A. COLLECTION OF INFORMATION
When you sign up and apply through the Yardu app, we may collect the following types of information:
- Personal identification details (e.g., name, contact information, government-issued ID)
- Application-related data (e.g., service requests and location)
- Transactional and usage data (e.g., service history, feedback, in-app interactions)
- Device and technical data (e.g., IP address, browser type, operating system)
B. USE OF INFORMATION
The information collected is used to:
- Provide and improve Yardu’s services
- Match service providers with Homeowners
- Facilitate service provider and Homeowner support
- Comply with legal and regulatory requirements
- Perform analytics, research, and service enhancement
- Communicate updates, service changes, or promotional offers (with consent)
- Facilitate dispute resolution where necessary
C. SHARING OF INFORMATION
Yardu does not sell or rent Homeowner information to third parties. We may share your data only in the following circumstances:
- With service providers and contractors who perform services on our behalf under strict confidentiality obligations
- With law enforcement or government authorities when required by law or court order
- In connection with a merger, acquisition, or other business restructuring
D. DATA SECURITY
Yardu uses industry-standard security measures, including encryption, secure servers, and access controls to protect your data from unauthorized access, disclosure, alteration, or destruction.
E. YOUR RIGHTS AND CHOICES
You have the right to:
- Access and update your personal information
- Withdraw consent for data processing (subject to legal obligations)
- Request deletion of your account and associated data
- Opt out of promotional communications at any time
F. DATA RETENTION
Yardu retains Homeowner or Provider data only for as long as necessary to fulfil the purposes for which it was collected, or as required by applicable law. When data is no longer required, we securely delete or anonymize it.
G. COOKIES AND TRACKING TECHNOLOGIES
The Yardu app may use cookies or similar technologies to enhance user experience, analyse trends, and administer the app. You can control cookie preferences through your device settings.
H. POLICY UPDATES
This Privacy and Data Use Policy may be updated periodically to reflect changes in our practices or legal requirements. We will notify users of significant changes through the app or by email, and continued use of the app constitutes acceptance of the updated policy.

YARDU APP USE POLICY
The Yardu App is the primary platform through which Homeowners and Service Providers interact, schedule services, and manage their accounts. To ensure a safe, reliable, and respectful environment, all users must adhere to the following App Use Policy. These guidelines apply to all
activities conducted within the Yardu App.
A. AUTHORIZED USE ONLY
Access to and use of the Yardu App is granted solely to registered Homeowners and Service Providers for the purpose of requesting, delivering, or managing services offered through the platform. Unauthorized access, use, or distribution of the app’s content, functionality, or systems is strictly prohibited.
B. ACCOUNT SECURITY AND ACCESS
Users are solely responsible for maintaining the confidentiality of their login credentials and for all activity conducted under their Yardu account. Neither Yardu nor the platforms through which the Yardu App is distributed shall be liable for any loss, damage, or unauthorized activity resulting from a user’s failure to protect their account information. Users must promptly notify Yardu if they suspect any unauthorized access, use, or security breach related to their account.
C. ACCEPTABLE USE AND CONDUCT
Users agree not to:
- Use the app in any way that violates applicable laws or regulations;
- Attempt to gain unauthorized access to Yardu systems or interfere with the operation of the
platform; - Transmit any viruses, malware, or harmful code through the app;
- Harass, threaten, or engage in abusive behavior toward other users;
- Use the platform to facilitate or promote illegal or fraudulent activities;
- Misrepresent their identity, qualifications, or purpose when using the app.
D. PLATFORM INTEGRITY
Yardu reserves the right to monitor activity on the app to ensure compliance with this policy. Any use that Yardu deems to be abusive, disruptive, or harmful to the platform, users, or brand reputation may result in suspension or termination of the user’s account.
E. DEVICE REQUIREMENTS AND UPDATES
Users are responsible for ensuring their devices are compatible with the Yardu App and that they download and install all required updates. Failure to maintain a secure and updated device environment may limit app functionality and expose users to risk.
F. CONTENT AND COMMUNICATION
Users may not upload or share content that is unlawful, defamatory, obscene, or infringes on the intellectual property or rights of others. Yardu reserves the right to remove or restrict such content and take appropriate action, including notifying law enforcement if necessary.
G. DATA USAGE AND NETWORK ACCESS
Users acknowledge that they are responsible for any data charges incurred from their mobile network provider while using the Yardu App. Neither Yardu nor the platforms through which the Yardu App is distributed shall be liable for connectivity issues, slow performance, or other limitations resulting from the user’s internet or mobile service provider.
H. SUSPENSION AND TERMINATION
Violations of this App Use Policy may result in temporary suspension or permanent termination of the user’s Yardu account. Yardu reserves the right to take legal action for serious violations, including those involving fraud, abuse, or threats to platform security.
